Gambling.com Group Limited (Nasdaq: GAMB), a leader in digital marketing for the online gambling world, has announced a remarkable financial upturn for the fourth quarter and the entirety of 2023. The final quarter saw revenues peak at an unprecedented $32.5 million, a 52 percent leap from the previous year. This surge was mirrored in the net income, which hit $6.4 million, and Adjusted EBITDA, which climbed by 54 percent to $10.6 million.

Throughout 2023, the company’s revenue rose by 42 percent to $108.7 million, with net income reaching $18.3 million and Adjusted EBITDA growing by 53 percent to $36.7 million. North America was a significant contributor, with revenue increases of 103 percent in Q4 and 69 percent across the year, fuelled by new state launches, enhanced ‘same-state’ sales, and expanding media partnerships.

Strategic expansion through acquisition 

In a bold move to expand its market reach and shareholder value, Gambling.com Group has entered into a definitive agreement to acquire Freebets.com and related assets. This strategic acquisition is set to generate an estimated $10.0 million in revenue and $5.0 million in Adjusted EBITDA from April to December 2024. The total consideration for the acquisition is set between $37.5 million and $42.5 million, to be financed through existing cash, credit facilities, and future cash flows.

Future Outlook and Leadership Vision 

Looking forward, Gambling.com Group forecasts a 2024 revenue of $129 million to $133 million and Adjusted EBITDA of $44 million to $48 million. This projection is based on the current market without factoring in potential new online gambling markets in North America, except for the recent launch in North Carolina, and includes revenue from the Freebets.com acquisition.

Michael Fancher, CEO of Onlinecasino.amsterdam, recently shared some valuable insights with SiGMA News about his journey in iGaming affiliate marketing. In this interview he sheds light on the latest developments in the Netherlands during his nearly two-decade-long experience in iGaming. He also discussed his websites that primarily target the Dutch market and shed light on the latest developments in the Netherlands

SiGMA News: Could you share with me the story of how and when you entered the iGaming industry? Has your focus always been on gaming?

Michael Fancher: In 2006, I discovered affiliate marketing in the iGaming niche through an article. Intrigued, my girlfriend’s brother-in-law, a front-end designer, and I started a hobby project. Our first site, vegasfever.nl, led to my nickname “Vegasfever” in the iGaming community. Growing up in Zandvoort, home to the first Holland Casino, my family often engaged in gambling and card games. Thus, my focus has always been on gambling and casinos since my youth.

SiGMA News: What distinguishes you from other affiliates in the industry?

Michael Fancher: From a business perspective, we’ve always been a reliable partner for our casino partners, prioritizing long-term profitable relationships over quick wins. We’ve built strong relationships with the operators we work with and have amassed considerable experience and a vast network over the years. This experience opens doors faster for us, a benefit many new affiliates lack.

On a personal level, we believe in balancing work with fun. We’ve organized numerous events on our Amsterdam boats, including the legendary wind-off sessions for IGB. We’ve also hosted cruise dinners and BBQs for major brands like Unibet. As a DJ for 40 years, I’ve performed at various iGaming events, such as Fire & Ice in London. I’m considering writing a book about my adventures over the past 18 years.

SiGMA News: What aspects make your website stand out from the rest?

Michael Fancher: Our website, Onlinecasino.amsterdam, is unique in several ways. Firstly, the domain name is appealing and versatile, reflecting our identity as local Amsterdammers. While our current focus is on Dutch players, the domain has the potential for global expansion, which we intend to pursue. Technically, our site is one of the fastest in our niche in the Dutch market. We prioritize providing visitors with quick and easy access to the right information. A key focus for us is safety, reliability, and responsible gaming, which is evident in our extensive content on responsible gambling and addiction care.

SiGMA News: What are the key factors contributing to your website’s success? Could you also share the primary challenges you are currently facing?

Michael Fancher: Our success stems from attracting high-value players for casino operators, fostering long-term relationships with brands, and working with knowledgeable affiliate managers. When the Dutch market opened, we quickly navigated through inexperienced affiliates to establish our presence. Currently, we face challenges from rogue foreign affiliates who manipulate search engines and promote unlicensed providers. Google’s recent update targets these sites. Compliance is another challenge, especially with the new advertising legislation since March 2023 and the upcoming player limit of €700 in the Netherlands. This necessitates increasing traffic to maintain turnover. As players open accounts at multiple casinos, we anticipate a rise in CPA income. We hope political restrictions on advertising and gaming will ease, preventing a blow to channelization experienced in other countries.

SiGMA News: Could you elaborate on the transformations in the Dutch market following the implementation of the Online Gambling Act in the Netherlands?

Michael Fancher: Since the adoption of new rules and laws on October 1, 2021, the Dutch iGaming market has matured significantly. 27 licences have been issued with more in the pipeline. The market has seen numerous consolidations and mergers, including the takeover of Onlinecasinoground by Casinonieuws and Goldrun Casino by Betsson. The transition from a wild, unregulated market to a more structured one has brought challenges and increased workload, but also a sense of nostalgia for the earlier days.

SiGMA News: How do you envision the future of affiliate marketing, particularly in the context of the Dutch market?

Michael Fancher: Despite the constant changes in rules and Google’s frequent updates, I maintain a positive outlook on the iGaming affiliate niche. However, for newcomers to the Dutch casino affiliate scene, the ship has sailed. It’s challenging to start a profitable business in this area, leading many to acquire existing sites. I’ve recently launched iGamingfilms.com, an ad production company unrelated to affiliation but leveraging my extensive iGaming network. If I were to start a new venture in the Dutch iGaming market today, it would be far removed from affiliation.

SiGMA News: Do you produce all the necessary marketing materials for promotion internally, or do you rely on outsourcing?

Michael Fancher: Our marketing materials are created through a mix of in-house staff, outsourcing, and personal effort. Finding skilled writers willing to associate their names with our gambling site, especially after Google’s recent E-A-T updates, is challenging. The influx of cheap, optimized content due to the AI revolution has made it difficult to discern quality. Even Google struggles with this issue.

SiGMA News: You’ve been invited multiple times to SiGMA Affiliates as a Spartan. Could you describe those experiences?

Michael Fancher: I have been attending SiGMA in Malta since its second edition, and have participated as a Spartan multiple times. What’s great about it is that an entire program is specifically organized for affiliates. You get to meet colleagues from all over the world, each with their own unique stories and specific challenges. It’s always interesting to hear their experiences. Moreover, you always end up making valuable contacts. SiGMA is indeed a very special event.

Cape Town recently played host to the SiGMA Africa Summit, a pivotal event where industry veterans convened to dissect the fast-evolving landscape of internet sports and affiliate marketing in South Africa. The expert panel discussion, entitled “Unlocking the potential of South Africa’s internet sports scene and affiliate marketing opportunities,” was moderated by Gali Hartuv, CEO at WarriorLab Consulting. The conversation set off with an examination of South Africa’s sports betting scene, which has seen a significant shift to include fixed odds betting casino games. Martin Sack commented on the transformative impact of allowing casino-themed games under sports betting licenses, likening it to the global online casino markets. The inclusion has notably widened the scope for casino affiliates, who boast a larger base than their sports counterparts.

The panelists discussed the role of affiliates in the current ecosystem, contrasting the situation faced by onshore and offshore entities. Gali Hartuv offered insights into the complexities that offshore affiliates encounter when considering the South African regulated market, which is also home to unlicensed operators already active in the country.

Boerma shed light on the practical challenges, such as the unclear regulatory frameworks complicating affiliates’ SEO efforts and the increasing costs, which might necessitate in-house affiliate teams for operators. The panelists highlighted the substantial offshore market in South Africa, advocating for enhanced education and support for affiliates to aid their transition to the regulated market.

Martin Sack provided a counterpoint, emphasising the fair tax regime and the absence of stringent play limits in South Africa, suggesting a relatively affiliate-friendly market. He affirmed that the influence of unlicensed operators is on the wane as the regulated market burgeons, providing a comprehensive range of products at par with international standards.

The panelists converged on the potential for aggregators to catalyse support for affiliates in South Africa. Hartuv posited that this could be an avenue for new players to facilitate affiliate market entry. Collaboration was a resonant theme, with Sasha Boerma echoing the sentiment that regulated operators are receptive to aiding affiliates in their business development, signaling a burgeoning area for joint efforts.

Closing the discussion, the panelists underlined the need for greater clarity and support from the regulatory bodies. The establishment of institutions or services to streamline licensing processes was suggested to enhance South Africa’s appeal as a market for international and local affiliates.

Moderated by Oliver De Bono, CEO at Quantum Gaming, the panel featured Petra Zackrisson, SVP of Growth at Better Collective, Daniel Lyons, Senior Business Development Manager at Genius Sports, and Oyindamola Michaels, the country manager for Nigeria at Kaizen Gaming. The discussion centered on the strategies for market penetration, the state of market saturation, and the unique aspects of customer acquisition in different African countries.

Petra Zackrisson emphasised the importance of understanding micro-segments within individual countries rather than approaching Africa as a monolithic entity. She pointed out that each segment demands a presence on the right social media channels to engage the younger generation effectively. Zackrisson identified South Africa and Nigeria as leading geos in the region.

Addressing market saturation, Daniel Lyons shared that the South African market, once thought to be mature, has experienced a surge of new European operators, injecting competition and innovation into the space. This influx has energised the market, although it has also made it more challenging for operators to differentiate and succeed.

When asked about localisation, Oyindamola Michaels highlighted Nigeria's favourable tax incentives and the absence of double taxation issues, making it an attractive market for investors. She noted the country's love for football as a significant driver for customer acquisition, aided by influential figures and a synergy with the Central Bank regarding payment channels.

Petra Zackrisson also pointed out that the stability of the regulatory environment is crucial for market success. This stability is one of the reasons operators are drawn to the Nigerian market, which allows them to invest confidently in localising products and marketing strategies.

Discussing acquisition channels, Daniel Lyons outlined the advantages of having a significant budget to test different marketing approaches. He stressed the importance of treating customers as individuals to retain them in a volatile market.

On the topic of language differences, Petra Zackrisson noted that sports preferences vary by region and that while newcomers might not afford to communicate in all languages, larger operators can offer clients a choice. Oyindamola Michaels added that localising content goes beyond language, citing Nigeria's vast linguistic diversity. She suggested that FAQs, customer support, and leveraging influencers could be more effective strategies for operators than attempting to cater to every language.

Daniel Lyons mentioned that while mature markets come with higher entry costs, regions like Mozambique and Zambia present cost-effective opportunities, with trends like crash games and women betting in casinos becoming increasingly popular in these areas.

Petra Zackrisson concluded by cautioning against an overemphasis on acquisition, urging operators to consider that African markets typically comprise low-value customers. Oyindamola Michaels wrapped up the discussion by emphasising the African player's expectations of operator generosity as a key to retention, underscoring the importance of understanding and catering to local consumer behaviour.

The panel at the SiGMA Africa Summit revealed a nuanced view of the African iGaming market, highlighting the need for tailored approaches, market stability, and the recognition of unique consumer trends to successfully penetrate and thrive within this diverse and dynamic region.

Leading affiliate Better Collective has recently announced its plan to issue shares equivalent to approximately 10 percent of its total capital. This strategic move is aimed at preparing the company for future mergers and acquisitions (M&A). The company intends to issue the new share capital through an accelerated book-building process, a method that allows shares to be made available for a short period with minimal marketing.

The recent capital raise by Better Collective is a strategic move aimed at increasing its M&A capacity and preparing for future acquisitions. The company successfully raised DKK1,082 million (c. EUR145 million) through a share issue, which will be used to reduce its current debt facilities. This move is expected to bring down the net debt from EUR282 million to around EUR137 million, aligning with the 2024 EBITDA target range of EUR125 million- EUR135 million.

Better Collective’s target for net debt / EBITDA to be below 3x in 2024 implies an M&A capacity of around EUR250 million following the capital raise. This strategy is particularly relevant given the highly fragmented digital sports media market, which presents numerous attractive M&A opportunities.

While analysts do not anticipate any significant changes to its estimates or valuation range following the capital raise, the strengthened balance sheet suggests that the growth target set for 2027 (revenue CAGR of +20 percent from 2023-27) could be more readily achieved, and potentially even surpassed, due to the increased potential for M&A-driven growth. This analytical perspective underscores the strategic importance of Better Collective’s capital raise and its implications for the company’s future growth trajectory.

The primary goal of this share issuance is to enhance Better Collective’s financial flexibility. The net proceeds from the offering will be utilized to pay down the company’s existing debt obligations. This move will empower the company to navigate through a highly segmented market brimming with a plethora of enticing opportunities for acquisition, thereby adding an intriguing dimension to its operational strategy.

Since 2017, Better Collective has made a total of 34 acquisitions. The most recent transaction was the purchase of Canadian affiliate Playmaker Capital for €176 million, which was completed in early February. The share issuance, which is not underwritten, targets institutional and professional investors in Denmark, Sweden, and certain other jurisdictions.

The company has not yet determined an offer price, which will be disclosed following the conclusion of the accelerated book-building process. The final pricing and the number of new shares are expected to be announced as soon as practically possible thereafter. The new shares are anticipated to settle around March 4.

As part of the offering, Danish fund BLS Capital Fondsmæglerselskab has committed to subscribing to 50 percent of the offering as an anchor investor. In light of the capital raise, Better Collective and its executives have agreed not to sell any shares until the release of the company’s Q1 financial report.

Better Collective dominated affiliate M&A activity in 2023, being responsible for six of the ten affiliate acquisitions that occurred during the year. The company was also responsible for the year’s three largest purchases: the €176 million Playmaker Capital deal, the €56 million acquisition of Skycon, and the €49.5 million Playmaker HQ agreement.

The decision to highlight M&A in the capital raise indicates Better Collective’s intention to continue this trend into 2024, further solidifying its position in the dynamic affiliate space of the gambling industry.

Better Collective, the leading affiliate in the sports betting industry, has received approval from Playmaker Capital’s shareholders for its €176 million acquisition of the company. This deal positions Better Collective as the market leader in South America and enhances its position in North America.

The approval was given at an Extraordinary General Meeting held on January 22, where 99.9 percent of the shareholders voted in favour of the deal. This outcome was anticipated, as 49.8 percent of the company’s shareholder capital is owned by directors, officers, and certain shareholders who had previously expressed their consent.

The acquisition, which is expected to close in February, will position Better Collective as the market leader in Latin America while also enhancing its position in the US market.

Playmaker Capital reported €55 million in revenue and €15 million in EBITDA for the trailing 12-month period in its Q3 financial report. The company’s portfolio includes sports media brands such as The Nation Network, Futbol Sites, and Yardbarker. In addition, Playmaker owns Wedge, a pure affiliate marketing operator acquired in 2022.

CEO comment

Playmaker Capital’s co-founder and CEO, Jordan Gnat, expressed his excitement about the acquisition. He stated that the deal is transformational for Playmaker and its shareholders, taking the company to the next level. He also highlighted the alignment of Better Collective’s vision to become the leading digital sports media group with Playmaker’s goals.

Better Collective aims to bring the post-integrated Enterprise Value/EBITDA of 2026e to below 5x, contrasting with the acquisition’s implied EV/EBITDA multiple of 11.7x based on publicly available financial documents. The company plans to achieve this through enhanced scale, increased product, tech, and marketing investments, operational synergies such as rationalisation, and portfolio improvements including the implementation of performance-based marketing across the business.

This acquisition is the second-largest for Better Collective, following its $240 million purchase of Action Network.

In a recent development, Patrick Keane, CEO of Action Network, announced his departure from the company. Despite this, he highlighted the company’s continued growth post-acquisition. Similarly, Playmaker’s leadership team is expected to remain in place to guide the company’s future growth.

Keane expressed pride in what the team at Action Network had built during his tenure as CEO. He noted that while two-thirds of corporate acquisitions are deemed unsuccessful, Better Collective has bucked this trend with a profitable and growing digital media asset in Action Network.

When Better Collective successfully acquired Action Network in the early summer of 2021, Action’s revenue for the 12 months leading up to the sale had exceeded $20 million. This period included several months of full-blown COVID impact. According to an internal email from Better Collective North America CEO Marc Pedersen, the rapid growth has continued and revenues have more than doubled since then. Keane leaves behind a high-performing and fast-growing organization.

Keane served as the chief executive for five years, including during the lead-up to the sale to Better Collective.

GiG continues Tier 1 expansion

This latest development marks GiG's second B2B partner brand going live in Portugal, introducing Betway under the leadership of CEO Richard Carter and CBO Andrew Cochrane. Both industry veterans, Carter and Cochrane, bring invaluable experience from their roles at SBTech and DraftKings, respectively, further amplifying GiG's capabilities in delivering commercial growth.

The move aligns seamlessly with GiG's focus on expanding its high-profile partnerships across sportsbook, next-generation platform, and AI solutions.

Roll out in the Portuguese market

Having clinched EGR's Full Service Platform and Multi-Channel Supplier of the Year for 2023, GiG's success is attributed to its innovative suite of solutions tailored for tightening global legislation. Portugal, with its robust regulatory framework and a taxation structure demanding configurable solutions, becomes a strategic market for GiG's cutting-edge offerings. The company's emphasis on acquisition and retention, coupled with market-leading features, positions it as a driver of growth for operators worldwide.

Portugal's booming online gaming market

As the Portuguese online gaming market witnesses a remarkable surge with a record €658.6m revenue in 2022, GiG stands poised to capitalize on this opportunity.

With 28 licence holders, including 12 for sports betting and 16 for iGaming, the market offers a fertile ground for expansion. Andrew Cochrane, Chief Business Officer at GiG, expressed pride in the partnership with Betway, emphasizing the launch as a pivotal moment in GiG's journey as a B2B market leader.

Anthony Werkman, CEO of Betway, echoes the sentiment, stating, "This GiG platform will help play a role in expediting our objectives to elevate the sports betting experience for existing Betway customers in Portugal and appealing to new ones."
